Payments Terms

These Payments Terms apply when you use Cedros payment features, including the Cedros Pay extension, to accept payments from your own customers. They supplement the Terms of Service, including Sections 15 through 17; capitalized words have the meaning given there. For payment features, these terms control over the general Terms where they differ.

In these terms, "you" means the business accepting payments, and "your customers" means the people who pay you.

Payments you make to Cedros for your own subscription are covered by the Terms of Service and the Refund Policy, not by these terms.

1. What Cedros provides

Cedros provides software. It lets you present prices, take orders, and send payment instructions to the payment providers and networks you choose to connect. Depending on your plan and configuration, this can include checkout, products, subscriptions, coupons, tipping, paywalls and gated content, credits and gift cards, refunds, and records of orders and disputes.

Some payment features are not available in every region or on every plan, and some are in preview. Cedros is in beta and the Service Level Agreement applies.

2. You are the seller

You are the seller and the merchant of record for every sale made through your Customer Site. Cedros is not a party to your sales, is not the merchant of record, and does not act as your agent in collecting money, unless Cedros expressly says so in writing for a specific transaction.

You are responsible for:

your products, prices, descriptions, and delivery;
your own terms of sale, refund and cancellation policy, and customer support;
receipts, invoices, and any disclosures the law requires;
refunds, returns, disputes, and chargebacks;
taxes on your sales; and
holding any license or registration your business or your products require.

3. Card payments and your payment processor

Card and similar payments are processed by a third-party payment processor under your own account with that processor. For Stripe, you connect your own Stripe account by providing its API credentials.

Your agreement with the processor governs the processing, holding, and payout of funds. For Stripe, that includes the Stripe Services Agreement.
The processor pays out to you directly. Cedros does not receive, hold, or pay out your card proceeds.
The processor sets its own fees, eligibility rules, verification requirements, reserves, and payout timing.
You must follow the processor's rules on what may be sold, including Stripe's prohibited and restricted businesses.
The processor may suspend or close your account. Cedros cannot reverse that decision.

You are responsible for keeping your processor credentials secure and for rotating them if they may have been exposed. You authorize Cedros to use the credentials you connect to carry out the payment actions you configure or request.

Card details are entered into the processor's payment forms. Do not collect, store, or send card numbers through forms, email, chat, files, or AI features.

4. Fees

The payment processor charges its own fees, and blockchain networks charge network fees. Those are not Cedros fees.

Any fee that Cedros charges for payment features is part of your plan or is shown to you before it applies. Separately installed extensions and third-party services may charge their own fees.

5. Digital-asset payments

Where available, you can accept payments in supported digital assets on a supported blockchain network. You choose which assets to accept, the wallet that receives them, and whether your site pays the network fee for your customers.

Payments are sent on the blockchain to the receiving wallet you configure. Cedros does not convert digital assets to other currency for you.
Blockchain transactions may be irreversible. A refund is a new transaction that you send.
You are responsible for confirming that the receiving address, network, and asset are correct, and for the consequences if they are not.
Asset values can change quickly. Cedros does not guarantee the value, liquidity, or legal status of any asset.
You are responsible for deciding whether accepting digital assets is lawful for your business and in your customers' locations, and for any licensing, tax, reporting, sanctions, and anti-money-laundering obligations that follow.

Wallets created through Cedros. If you create a wallet through Cedros Vault, its keys are generated and stored by that service and cannot be exported. You control the wallet through your account's permissions and approval settings, so anyone you give those permissions can act on it. Keep administrator access limited, and configure approvals and an independent signer where those options are offered.

Assistant purchases. If you allow your site's AI assistant to make payments, it does so from a separate wallet, within the spending limits you set and subject to the confirmations the feature requires. You are responsible for the limits you set and for funding that wallet.

Section 17 of the Terms also applies. Nothing Cedros provides is investment, financial, tax, or legal advice.

6. Subscriptions you sell

If you sell recurring subscriptions, you are responsible for complying with automatic-renewal and subscription laws. Among other things, you must clearly disclose the price, billing frequency, and renewal terms before purchase, obtain your customer's consent, send any required notices, and provide a simple way to cancel.

7. Credits, gift cards, and stored value

If you sell or issue credits, balances, or gift cards to your customers, you are the issuer. You are responsible for honoring them and for the laws that apply to stored value, gift cards, expiration, fees, and unclaimed property.

8. In-app purchases

If you sell through an app store's in-app purchase system, the app store's terms apply to those sales, including its rules on what must be sold through in-app purchase and the commission it charges.

9. Refunds, disputes, and chargebacks

You decide whether to give a refund, subject to your own policy and the law, and you fund the refunds you issue.

Disputes and chargebacks are handled under the processor's rules. Cedros may show you dispute information, but deadlines and evidence submission may need to be handled with the processor directly. You are responsible for responding on time and for any dispute fees and losses.

Cedros does not guarantee that a payment will be authorized, completed, reversed, or refunded.

10. Taxes

You are responsible for determining, collecting, reporting, and paying taxes on your sales. Cedros does not calculate tax for you. A tax setting you configure is applied as you configured it; you are responsible for whether it is correct.

11. Your customers' data

You are responsible for your own privacy notice and for having a lawful basis to collect and use your customers' information. Cedros processes your customers' information on your behalf as described in the Data Processing Addendum. The payment processor handles payment data under its own terms and privacy notice.

12. Prohibited uses

You may not use payment features:

for anything prohibited by the Acceptable Use Policy or by your payment processor;
to process payments for a business other than the one you identified to the processor;
to submit transactions you know or should know are fraudulent or unauthorized;
to split, disguise, or mislabel transactions to avoid limits, fees, or monitoring; or
to move money without an underlying sale of goods, services, or content, or a genuine donation or tip.

13. Suspension of payment features

Cedros may restrict or suspend payment features where reasonably necessary to address fraud, security risk, unlawful activity, a processor's or network's requirement, or a material violation of these terms. Where appropriate and reasonably practicable, we will give notice and an opportunity to fix the issue. Sections 37 and 41 of the Terms apply.
